Terms of Service

Welcome to Nordic Fleet. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and NFJ AUTO INC, doing business as Nordic Fleet ("Nordic Fleet," "we," "us," or "our"), governing your access to and use of our website, services, and products.

By accessing our website at www.nordicfleet.buzz, engaging our services, or entering into a service agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not use our services.

1. Definitions

For purposes of these Terms:

  • "Services" refers to all computer systems design, computer integrated systems, technical consulting, implementation, support, and related professional services provided by Nordic Fleet.
  • "Client" means any individual or entity that engages Nordic Fleet for services.
  • "Agreement" means these Terms together with any service-specific agreements, statements of work, or contracts.
  • "Deliverables" means any work product, documentation, software, or materials provided by Nordic Fleet as part of the Services.
  • "Confidential Information" means any proprietary or confidential information disclosed by either party.
  • "Website" refers to www.nordicfleet.buzz and all associated web properties.

2. Services Description

Nordic Fleet provides professional, scientific, and technical services in the field of computer systems design and related services, including but not limited to:

  • Computer systems design and architecture
  • Computer integrated systems development and implementation
  • Technical consulting and strategic planning
  • System implementation and deployment services
  • Security and compliance consulting
  • Managed services and technical support
  • Custom software development and integration
  • Project management and quality assurance

Specific services, deliverables, timelines, and pricing will be detailed in individual statements of work or service agreements.

3. Service Agreements and Statements of Work

3.1 Engagement Process

Services are provided pursuant to written agreements, which may include:

  • Master Service Agreements (MSA)
  • Statements of Work (SOW)
  • Project-specific contracts
  • Service level agreements (SLA)

3.2 Scope of Work

Each engagement will clearly define:

  • Project objectives and deliverables
  • Timeline and milestones
  • Pricing and payment terms
  • Responsibilities of both parties
  • Acceptance criteria
  • Change management procedures

3.3 Modifications

Any changes to the agreed scope of work must be documented in writing and approved by both parties. Additional work may result in adjusted fees and timelines.

4. Fees and Payment Terms

4.1 Pricing

Fees for services will be specified in the applicable service agreement and may be based on:

  • Fixed project fees
  • Time and materials (hourly or daily rates)
  • Retainer arrangements
  • Subscription or recurring fees
  • Value-based pricing

4.2 Payment Terms

Unless otherwise specified:

  • Invoices are due within 30 days of receipt
  • Payment may be required in advance for certain services
  • Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by law
  • We reserve the right to suspend services for overdue accounts

4.3 Expenses

Client agrees to reimburse reasonable expenses incurred in connection with services, including travel, software licenses, and third-party services, when pre-approved in writing.

4.4 Taxes

Fees are exclusive of all applicable taxes, duties, and assessments. Client is responsible for all taxes except those based on Nordic Fleet's income.

5. Client Responsibilities

To ensure successful service delivery, Client agrees to:

  • Provide timely access to necessary systems, data, and personnel
  • Designate authorized representatives for decision-making
  • Provide accurate and complete information
  • Review and approve deliverables within agreed timeframes
  • Maintain appropriate backups of data and systems
  • Comply with all applicable laws and regulations
  • Provide a safe working environment for on-site services
  • Make timely payments as agreed

6. Intellectual Property Rights

6.1 Pre-Existing Materials

Each party retains all rights to their pre-existing intellectual property, including:

  • Nordic Fleet's methodologies, tools, templates, and frameworks
  • Client's business processes, data, and proprietary information

6.2 Work Product

Unless otherwise specified in a service agreement:

  • Custom deliverables created specifically for Client will be owned by Client upon full payment
  • Nordic Fleet retains rights to general knowledge, techniques, and methodologies developed during the engagement
  • Nordic Fleet may use anonymized project data for case studies with Client's prior written consent

6.3 Third-Party Software

Third-party software, tools, or components are subject to their respective licenses. Client is responsible for obtaining necessary licenses.

6.4 License Grant

Client grants Nordic Fleet a limited license to use Client's materials solely for the purpose of providing the Services.

7. Confidentiality

7.1 Confidential Information

Both parties agree to maintain the confidentiality of all proprietary and confidential information disclosed during the engagement, including:

  • Business strategies and plans
  • Technical specifications and designs
  • Financial information
  • Customer and employee data
  • Trade secrets and proprietary methodologies

7.2 Obligations

Each party agrees to:

  • Use Confidential Information only for the purposes of the engagement
  • Protect Confidential Information with the same degree of care used for its own confidential information
  • Limit disclosure to employees and contractors with a need to know
  • Return or destroy Confidential Information upon request or termination

7.3 Exceptions

Confidentiality obligations do not apply to information that:

  • Is publicly available through no fault of the receiving party
  • Was rightfully possessed prior to disclosure
  • Is independently developed without use of Confidential Information
  • Must be disclosed pursuant to legal requirements

8. Warranties and Disclaimers

8.1 Service Warranty

Nordic Fleet warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. If services fail to meet this warranty, Nordic Fleet will re-perform the services at no additional charge.

8.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, NORDIC FLEET PROVIDES SERVICES "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.3 No Guarantee of Results

While we strive for excellence, Nordic Fleet does not guarantee specific results, outcomes, or performance improvements from our services.

9. Limitation of Liability

9.1 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORDIC FLEET'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE FEES PAID BY CLIENT FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE CLAIM.

9.2 Exclusion of Damages

IN NO EVENT SHALL NORDIC FLEET BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 Exceptions

These limitations do not apply to:

  • Gross negligence or willful misconduct
  • Breaches of confidentiality obligations
  • Intellectual property infringement claims
  • Matters that cannot be limited by applicable law

10. Indemnification

Client agrees to indemnify, defend, and hold harmless Nordic Fleet, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Client's use of the Services
  • Client's violation of these Terms
  • Client's violation of any applicable laws or regulations
  • Client's infringement of third-party rights
  • Client-provided content, data, or materials

11. Term and Termination

11.1 Term

These Terms remain in effect for the duration of the service engagement or until terminated as provided herein.

11.2 Termination for Convenience

Either party may terminate a service agreement with 30 days' written notice. Client remains responsible for fees for services performed and committed expenses.

11.3 Termination for Cause

Either party may terminate immediately upon written notice if the other party:

  • Materially breaches these Terms and fails to cure within 15 days
  • Becomes insolvent or files for bankruptcy
  • Ceases business operations

11.4 Effect of Termination

Upon termination:

  • Client must pay all outstanding fees and expenses
  • Nordic Fleet will deliver all completed work product
  • Each party will return or destroy Confidential Information
  • Provisions regarding confidentiality, intellectual property, and liability survive termination

12. Data Protection and Privacy

Nordic Fleet's collection, use, and protection of personal information is governed by our Privacy Policy, available at www.nordicfleet.buzz/privacy.html. By using our services, you acknowledge and agree to the terms of our Privacy Policy.

When processing personal data on Client's behalf, Nordic Fleet acts as a data processor and will:

  • Process data only as instructed by Client
  • Implement appropriate security measures
  • Assist with data subject requests and compliance obligations
  • Maintain records of processing activities
  • Notify Client of any data breaches

13. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including:

  • Natural disasters, epidemics, or pandemics
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Labor disputes or strikes
  • Telecommunications or internet failures
  • Cyber attacks or security incidents

The affected party will provide prompt notice and use reasonable efforts to resume performance.

14. Dispute Resolution

14.1 Negotiation

In the event of any dispute, the parties agree to first attempt to resolve the matter through good-faith negotiations.

14.2 Mediation

If negotiations fail, the parties agree to submit the dispute to mediation before pursuing litigation or arbitration.

14.3 Governing Law

These Terms are governed by the laws of the State of California and the United States, without regard to conflict of law principles.

14.4 Jurisdiction

Any legal action must be brought in the state or federal courts located in Orange County, California. Both parties consent to the exclusive jurisdiction of these courts.

15. General Provisions

15.1 Entire Agreement

These Terms, together with any service agreements and statements of work, constitute the entire agreement between the parties and supersede all prior agreements and understandings.

15.2 Amendments

We may modify these Terms at any time by posting updated terms on our website. Continued use of services after changes constitutes acceptance. Material changes will be communicated via email.

15.3 Assignment

Client may not assign or transfer these Terms without Nordic Fleet's prior written consent. Nordic Fleet may assign these Terms in connection with a merger, acquisition, or sale of assets.

15.4 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect, and the unenforceable provision will be modified to reflect the parties' intent.

15.5 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

15.6 Independent Contractors

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

15.7 Notices

All notices must be in writing and sent to the addresses specified in the service agreement or to:
